With steam coal prices continuing to be weak due to the inroads made by natural gas, Natural Resource Partners (NYSE: NRP  ) has decided if you can't beat 'em, join 'em. It announced Monday it is buying producing�oil and gas�properties located in the Williston Basin of North Dakota and Montana from�Abraxas Petroleum (NASDAQ: AXAS  ) for $35.3 million in cash.

Natural Resource Partners has entered into a definitive agreement to purchase non-operated working interests in�approximately 120 producing wells as well as interests in 22 wells that are in various stages of development.

Noting the acquisition adds diversity to NRP's revenue stream, Natural Resource Partners President and COO Nick Carter said, "This acquisition marks NRP's strategic entry into the Bakken play and into owning non-operated working interests in oil and gas assets."

The acquisition consists of approximately 13,500 net acres "that are held by production with an estimated average working interest of 11% in the Bakken/Three Forks play." The deal will�have an effective date of March 1, but is expected�to close in the third quarter and will be immediately accretive to NRP's unitholders.

Boardwalk Pipeline Partners, LP is a limited partnership company. The Company owns and operates three interstate natural gas pipeline systems including integrated storage facilities. Its business is conducted by its primary subsidiary, Boardwalk Pipelines, LP (Boardwalk Pipelines) and its subsidiaries, Gulf Crossing Pipeline Company LLC (Gulf Crossing), Gulf South Pipeline Company, LP (Gulf South) and Texas Gas Transmission, LLC (Texas Gas) (together, the operating subsidiaries), which consist of integrated natural gas pipeline and storage systems. The Company�� pipeline systems originate in the Gulf Coast region, Oklahoma and Arkansas and extend north and east to the midwestern states of Tennessee, Kentucky, Illinois, Indiana and Ohio. It serves a mix of customers, including producers, local distribution companies (LDCs), marketers, electric power generators, direct industrial users and interstate and intrastate pipelines. The Company provides a portion of its pipeline transportation and storage services, through firm contracts, under which the Company�� customers pay monthly capacity reservation charges. Other charges are based on actual utilization of the capacity under firm contracts and contracts for interruptible services. During 2011, approximately 82% of its revenues were derived from capacity reservation charges under firm contracts; approximately 14% of its revenues were derived from charges-based on actual utilization under firm contr! acts, and approximately 4% of its revenues were derived from interruptible transportation, interruptible storage, parking and lending (PAL) and other services. Its expansion projects include South Texas Eagle Ford Expansionand Marcellus Gathering System and HP Storage.

Pipeline and Storage Systems

The Company�� operating subsidiaries own and operate approximately 14,200 miles of pipelines, directly serving customers in twelve states and indirectly serving customers throughout the northeastern and southeastern United States through numerous interconnections with unaffiliated pipelines. In 2011, its pipeline systems transported approximately 2.7 trillion cubic feet of gas. Average daily throughput on its pipeline systems during 2011 was approximately 7.3 billion cubic feet. Its natural gas storage facilities are comprised of eleven underground storage fields located in four states with aggregate working gas capacity of approximately 167.0 billion cubic feet. the Company operates the assets of HP Storage on behalf of the joint venture.

The principal sources of supply for our pipeline systems are regional supply hubs and market centers located in the Gulf Coast region, including offshore Louisiana, the Perryville, Louisiana area, the Henry Hub in Louisiana and the Carthage, Texas area. Its pipelines in the Carthage, Texas area provide access to natural gas supplies from the Bossier Sands, Barnett Shale, Haynesville Shale and other gas producing regions in eastern Texas and northern Louisiana. The Henry Hub serves as the designated delivery point for natural gas futures contracts traded on the New York Mercantile Exchange. Its pipeline systems also have access to unconventional mid-continent supplies, such as the Woodford Shale in southeastern Oklahoma and the Fayetteville Shale in Arkansas. The Company also accesses the Eagle Ford Shale in southern Texas; wellhead supplies in northern and southern Louisiana and Mississippi; and Canadian natural gas through an unaffil! iated pip! eline interconnect at Whitesville, Kentucky.

Gulf Crossing

The Company�� Gulf Crossing pipeline system originates near Sherman, Texas, and proceeds to the Perryville, Louisiana area. The market areas are in the Midwest, Northeast, Southeast and Florida through interconnections with Gulf South, Texas Gas and unaffiliated pipelines.

Gulf South

The Company�� Gulf South pipeline system is located along the Gulf Coast in the states of Texas, Louisiana, Mississippi, Alabama and Florida. The on-system markets directly served by the Gulf South system are generally located in eastern Texas, Louisiana, southern Mississippi, southern Alabama, and the Florida Panhandle. These markets include LDCs and municipalities located across the system, including New Orleans, Louisiana; Jackson, Mississippi; Mobile, Alabama; and Pensacola, Florida, and other end-users located across the system, including the Baton Rouge to New Orleans industrial corridor and Lake Charles, Louisiana. Gulf South also has indirect access to off-system markets through numerous interconnections with unaffiliated interstate and intrastate pipelines and storage facilities. These pipeline interconnections provide access to markets throughout the northeastern and southeastern United States.

Gulf South has two natural gas storage facilities. The gas storage facility located in Bistineau, Louisiana, has approximately 78 billion cubic feet of working gas storage capacity from which Gulf South offers firm and interruptible storage service, including no-notice service. Gulf South�� Jackson, Mississippi, gas storage facility has approximately five billion cubic feet of working gas storage capacity, which is used for operational purposes and is not offered for sale to the market.

Texas Gas

The Company�� Texas Gas pipeline system originates in Louisiana, East Texas and Arkansas and runs north and east through Louisiana, Arkansas, Mississippi, Tennessee, K! entucky, ! Indiana, and into Ohio, with smaller diameter lines extending into Illinois. Texas Gas directly serves LDCs, municipalities and power generators in its market area, which encompasses eight states in the South and Midwest and includes the Memphis, Tennessee; Louisville, Kentucky; Cincinnati and Dayton, Ohio, and Evansville and Indianapolis, Indiana metropolitan areas. Texas Gas also has indirect market access to the Northeast through interconnections with unaffiliated pipelines. Texas Gas owns nine natural gas storage fields, of which it owns the majority of the working and base gas. Texas Gas uses this gas to meet the operational requirements of its transportation and storage customers and the requirements of its no-notice service customers.

Field Services

In 2011, the Company formed its Field Services subsidiary and transferred to it approximately 100 miles of gathering and transmission pipeline. In 2012, the Company transferred to Field Services an additional 240 miles of pipeline and two compressor stations. Field Services is developing gathering and processing capabilities in south Texas and Pennsylvania.

Permian Basin proved reserves represented approximately 16% of total proved reserves, as of December 31, 2011, of which 56% were classified as proved developed reserves.

Michigan

Golar LNG Partners LP (the Partnership), incorporated on September 24, 2007, is a limited partnership formed as a wholly owned subsidiary of Golar LNG Limited (Golar), an independent owner and operator of floating storage re-gasification units (FSRUs) and liquefied natural gas (LNG) carriers, to own and operate FSRUs and LNG carriers under long-term charters. FSRU Charters

The Company provides the services of each of the Golar Spirit and the Golar Winter to Petrobras under separate time charter parties (or TCP) and operation and services agreements (OSAs). The TCPs and OSAs are interdependent and when combined have the same effect as the time charters for its LNG carriers. The services of the Golar Freeze are provided to DUSUP under a TCP. The Golar Spirit and ! Golar Winter charters also contained provisions giving Petrobras the option to purchase the vessels from it under certain circumstances.

LNG Carrier Charters

The Company provides the LNG marine transportation services of the Golar Mazo, Methane Princess and the Golar Maria under a time charters with LNG Shipping SpA. A time charter is a contract for the use of the vessel for a fixed period of time at a specified daily rate. Under a time charter, the vessel owner provides crewing and other services related to the vessel�� operation.

The Company competes with Royal Dutch Shell, BP, BG, Malaysian International Shipping Company, National Gas Shipping Company, Qatar Gas Transport Company, Excelerate Energy, Hoegh LNG, Exmar, Teekay LNG and MISC Berhad.

Lehigh Gas Partners LP, incorporated on December 2, 2011, is engaged in the wholesale distribution of motor fuels, consisting of gasoline and diesel fuel, and to own and lease real estate used in the retail distribution of motor fuels. It generates revenues from the wholesale distribution of motor fuels to gas stations, truck stops and toll road plazas, which it refers to as sites, and from real estate leases. It generates cash flows from the wholesale distribution of motor fuels by charging a per gallon margin. Its supply agreements with lessee dealers have three-year terms, and its supply agreements with independent dealers generally have 10-year terms. In May 2011, the Company acquired from Motiva Enterprises, LLC (Motiva) a total of 26 Shell Oil Company branded gas stations and convenience stores (Shell Locations) located in New Jersey and also acquired 56 wholesale fuel supply agreements. In September 2013, the Company announced that it has completed asset acquisition in the Knoxville, Tennessee region from Rocky Top Markets, LLC and Rocky Top Properties, LLC.

The Company generates cash flows from rental income by collecting rent from lessee dealers and Lehigh Gas-Ohio, LLC (LGO) pursuant to lease agreements. During the year ended December 31, 2011, it distributed approximately 561 million gallons of motor fuels to 570 sites. In addition, it has agreements requiring the operators of these sites to purchase motor fuels from it. As of December 31, 2011, it distributed motor fuels to the classes of businesses, including 185 independent dealers; 181 sites owned or leased by it and that will be operated by LGO following the closing of this offering; 134 sites owned or leased by it and operated by lessee dealers; and 70 sites distributed through six sub-wholesalers. In May 2012, the Company entered into a master lease agreement to lease 120 sites from an affiliate of Getty Realty Corp. Of the 120 sites, 74 are located in Massachusetts, 22 are located in New Hampshire, 15 are located in Pen! nsylvania and nine are located in Maine. The Company is focused on owning and leasing sites located in metropolitan and urban areas. It owns and leases sites located in Pennsylvania, New Jersey, Ohio, New York, Massachusetts, Kentucky, New Hampshire and Maine.

Wholesale Motor Fuel Distribution

The Company purchases branded and unbranded motor fuel from integrated oil companies, refiners and unbranded fuel suppliers. It distributes motor fuel to lessee dealers, independent dealers, LGO and sub-wholesalers. The Company is a distributor of brands of motor fuel, as well as unbranded motor fuel. During the year ended December 31, 2011, it distributed approximately 561 million gallons of motor fuel. It distributes motor fuel to lessee dealers and independent dealers under supply agreements. It provides credit terms to its lessee dealers and independent dealers, which are generally one to three days.

The Company distributes motor fuel to sub-wholesalers under supply agreements. Under its supply agreements, it agrees to supply a particular branded motor fuel or unbranded motor fuel to the sub-wholesaler. Motor fuels are sold to the sub-wholesalers at rack plus. It provides credit terms to its sub-wholesalers, which are one to three days. Branded motor fuels are purchased from integrated oil companies and refiners under supply agreements. During the year ended December 31, 2011, its wholesale business purchased approximately 46%, 23%, 22% and 5% of its motor fuel from ExxonMobil, BP Products North America, Inc. (BP), Shell Oil Company (Shell) and Valero respectively.

Real Estate

The Company owns or lease 315 sites located in Pennsylvania, New Jersey, Ohio, New York, Massachusetts and Kentucky. 186 of the sites it owns fee simple and 107 sites it leases from third-party landlords. Over 90% of its sites are located in metropolitan and urban areas. It derives its rental income from sites it owns or leases. It collects rent from the lessee dealers and! LGO purs! uant to lease agreements it has with the lessee dealers and LGO. All of its 186 owned sites are leased to lessee dealers or LGO. Its leases with the lessee dealers have three year terms. As of December 31, 2011, the average remaining lease term for owned sites it leases to lessee dealers was 1.8 years. As of December 31, 2011, it also leased 98 sites from third-parties and then sub-leased these sites to lessee dealers and LGO. As of December 31, 2011, the average remaining lease term for sites it leases from third-parties was 7.5 years. Its sub-leases with the lessee dealers have three-year terms. The average remaining sub-lease term for sites it sub-lease to lessee dealers is 4.2 years.

The rental income the Company earns from sites it owns or leases include rental income associated with the personal property located on these sites, such as motor fuel pumps. It sells sites, which it owns and then leases the sites back from the buyer. It refers to these transactions as sale-leasebacks. In these sale-leaseback transactions, it retains the environmental liabilities associated with the site. As of December 11, 2012, the Company leased 22 sale-leaseback sites. As of December 31, 2011, the average remaining lease term of these sale-leaseback sites was 17.5 years. It sub-leases its sale-leaseback sites to lessee dealers and LGO. Its sub-leases with the lessee dealers have three-year terms. As of December 31, 2011, the average remaining sub-lease term for sites it sub-lease to lessee dealers was 2.1 years. As of December 31, 2011, the Company owned 186 sites.

In 2011, the Company introduced its melanoma treatment selection mutation panel, which is designed to assist in the personalized selection of patient therapies. The Company introduced its thyroid cancer mutation panel, which assists in the diagnosis of thyroid cancer and aids physicians and surgeons as they plan surgery and other therapies to treat and attempt to cure thyroid cancer. During 2011, it enhanced its SureSwab Vaginosis/Vaginitis Plus test. The Company introduced Accutype IL28b, a test designed to aid in the prediction of patient response to peginterferon alpha-based therapy for treating hepatitis C virus infection. In 2011, it introduced testing for very long chain fatty acids, to assist in diagnosis and monitori! ng of inh! erited disorders of fatty acid metabolism. It also introduced high resolution chromosomal analysis testing with oligonucleotide microarrays to enhance its testing services in the pre-natal and post-natal genetics areas. During 2011, the Company released a test for therapeutic drug monitoring of dabigatran, an oral anti-coagulant. The Company also released genetic testing for SLC01B1, which helps identify patients at risk for myopathy from Simvastatin therapy for cholesterol reduction. Through Athena Diagnostics, it launched several molecular genetic tests for stroke, neuromuscular diseases and mitochondrial disorders.

Healthcare Information Technology

The Company provides interoperable technologies that help healthcare organizations and physicians enter, share and access clinical information without costly information technology (IT) implementation or workflow disruption, including through its Care360 suite of products and its ChartMaxx electronic document management system for hospitals. These solutions offer access to a national healthcare provider network, including approximately 200,000 networked physicians and clinicians using Quest Diagnostics��Care360 connectivity products. The Care360 products, including its Care360 Labs and Meds, enable physicians electronically to order diagnostic tests and review test results from Quest Diagnostics and electronically to prescribe medication. As of December 31, 2011, prescriptions were written through Care360 ePrescribing at an annualized rate of 32 million medications. Using its Care360 connectivity products, physicians can securely provide diagnostic and other data to a patient�� account. It offers Gazelle, a secure mobile health platform that allows users to receive their Quest Diagnostics laboratory results, manage their personal health information, find a Quest Diagnostics location and schedule appointments directly from their smartphone.

Clinical Trials Testing

The Company is a provider of central l! aboratory! testing performed in connection with clinical research trials on new drugs, vaccines and certain medical devices. It has clinical trials testing centers in the United States and the United Kingdom, and it provides clinical trials testing in Argentina, Australia, Brazil, the People�� Republic of China and Singapore through affiliated laboratories. The Company has biomarker capabilities. In 2011, it acquired Celera, enhancing its ability to provide biomarker discovery and develop IVD test kits.

Life Insurer Services

The Company is a provider of risk assessment services to the life insurance industry in North America. It also provides risk assessment services for insurance companies doing business in many countries outside the United States. Its risk assessment services comprise underwriting support services to the life insurance industry, including laboratory testing, electronic data collection, specimen collection and paramedical examinations, medical record retrieval, case management, motor vehicle reports, telephone inspections, prescription histories and credit checks. The laboratory tests that it performs and data it gathers are designed to assist insurance companies to objectively evaluate the mortality risks of policy applicants. The majority of the testing is performed on specimens of life insurance applicants, but also includes specimens of applicants for other types of insurance. Most of its specimen collections and paramedical examinations are performed by its network of approximately 5,000 contracted paramedical examiners at the applicant�� home or workplace. The Company also offers paramedical examinations through approximately 500 of its patient service centers, and operate approximately 80 locations other than patient service centers in the United States and Canada where the Company provides paramedical examinations, bringing to approximately 580 the total number of sites where it can provide these examinations. The Company also contracts with third parties at over! an addit! ional 200 locations globally to coordinate providing these exams.

Employer Services

The Company is a provider of testing to employers for the detection of employee use of drugs of abuse. Its Quest Diagnostics Drug Testing Index, which is an annual report of its aggregate drug testing results, is used by employers, the federal government and the media to help identify and quantify drug abuse among the nation�� workforce. It provides a range of solutions for drugs of abuse, including urine, hair, blood and oral fluid tests. In 2011, it introduced Oral-Eze, its own oral fluid collection system that simplifies the collection of oral samples for routine drug testing. The Oral-Eze Oral Fluid Collector provides all the advantages of previous collection systems, with the added benefit of its indicator window technology. The Company provides wellness testing and analytic services to employers.

Diagnostic Products

Diagnostic Products include point-of-care, or near-patient and testing. The Company develops and manufactures products that enable healthcare professionals to make healthcare diagnoses, including products for point-of-care, or near-patient, testing for the professional market. The Company has several companies, including Focus Diagnostics, HemoCue and Celera. Focus Diagnostics is a provider of infectious disease testing. Focus Diagnostics develops, manufactures and markets diagnostic products, such as HerpeSelect ELISA tests that detect patient antibodies to specific types of herpes simplex virus, which can be performed on a variety of instrument platforms. Focus Diagnostics sells its diagnostic products to academic medical centers, hospitals and commercial laboratories globally. Focus Diagnostics has an agreement with 3M Corporation for global human diagnostic rights to a compact integrated bench-top instrument for use with real time polymerase chain reaction (PCR) assays. These tests are sold under the Simplexa brand name. In 2011, Focus Diagnostic! s receive! d the CE mark to offer Simplexa tests in Europe, including tests for Cytomegalovirus, Epstein Barr virus, BK virus and clostridium difficile. Focus Diagnostics offers molecular transplant-testing menus in Europe.

HemoCue manufactures and distributes point-of-care testing products globally. HemoCue is a global provider in point-of-care testing for hemoglobin, with a growing market share for glucose, microalbumin and white blood cell testing. HemoCue offers its White Blood Cell Differential System in Europe. Celera offers complexity molecular diagnostic products in segments, such as HIV-1 drug resistance testing, reproductive genetics, transplantation and cardiovascular genetics. It also manufactures and offers the InSure fecal immunochemical test (FIT) for screening for colorectal cancer.

In June 2011, the Company acquired an office property located in Milwaukee, Wisconsin with 29,297 rentable square feet. In late 2011, Whitney Tilson shared a presentation on his website in which he conducts an analysis of Berkshire Hathaway (BRK.A)(BRK.B) and arrives at an estimate of Berkshire Hathaway�� Intrinsic Value. Basically, Tilson went through several Berkshire Hathaway annual reports and highlighted several of Warren Buffett's comments where Buffett talks about the discrepancy in Berkshire's stock price and its intrinsic value. Tilson then focuses on a quote and chart that could be found by reading the1997 Berkshire Hathaway Chairman's Letter:
In our last two annual reports, we furnished you a table that Charlie and I believe is central to estimating Berkshire's intrinsic value. Pretty straightforward right? It's definitely an alternative to some of the "sum of the parts" analysis I have seen from other individuals such as Tom Gayner's in the June 30, 2011 ed! ition of Value Investor Insight.While the approach is straightforward and makes sense, Berkshire's new share repurchase plan may have changed things a bit.

    International Stocks

    The broad emerging market index outperforms the S&P 500. The MSCI Emerging Market Index has returned -7.8%, lagging the S&P 500 by 27% as slower global growth, decelerating Chinese growth, lower commodity prices from this producer heavy index, and rising geopolitical tensions have fueled a veritable rout. My thesis was that improved growth in the developed world would have positive spillover effects in emerging markets. This has not borne out. Grade FRising German inflation signals a new leg of the Eurozone crisis as multi-speed economic growth hampers the effectiveness of centralized monetary policy. German CPI is south of 2% as the economic recovery remains muted. My belief was that faster growth in Northern Europe would fuel inflation pressures, but that ECB monetary accommodation would need to continue to be supportive of the weak economies in the South, creating an uncomfortable disconnect. Growth has not been strong enough anywhere on the continent to cause this type of worry although Germany continues to outperform Italy and Spain. Grade C-European election results become market moving events. Certainly worries about the return of Berlusconi in Italy post-Monti and a fractured coalition in Portugal became notable market events that weakened each countries sovereign bonds, but the European crisis has notably receded from 2012. Grade B-Social unrest in China, given the growing gulf between urban wealthy and rural poor, rattles global markets. Concerns in China have rattled emerging markets, but not due to an Arab Spring-type uprising. Grade C-Greek stocks and bonds both post positive returns, but the economy remains mired in recession. Greece remains in its sixth year of recession, but the Athens Stock Exchange has eked out a tepid 2% total return.     Gold, as represented by the SPDR Gold Trust (NYSEMKT: GLD  ) , fell quickly on the remarks, but bounced back to unchanged in short order.
